HERBIZ ONLINE MARKETPLACE – VENDOR TERMS & CONDITIONS

Effective Date: 01 November 2025

1. Introduction
a. These Terms and Conditions (“Terms”) govern the relationship between HerBiz Online Marketplace, operated by Ladies in Business Network SA (Pty) Ltd (“HerBiz”, “we”, “us”, or “our”), and all approved vendors, sellers, and service providers (“Vendors”, “you”, or “your”) who list, promote, or sell products and/or services on the HerBiz Online Platform (“Marketplace”).
b. By registering as a Vendor or uploading products to the Marketplace, you confirm that you have read, understood, and agreed to these Terms.

2. Legal Entity & Jurisdiction
a. HerBiz Online Marketplace is owned and operated by Ladies in Business Network SA (Pty) Ltd, a private company registered in South Africa (Reg. No: 2024/416236/07).
b. These Terms are governed by the laws of the Republic of South Africa.
c. Any disputes arising from these Terms will be resolved in accordance with the Consumer Protection Act (CPA), the Electronic Communications and Transactions Act (ECTA), and the Protection of Personal Information Act (POPIA).

3. Vendor Eligibility & Registration
a. Only approved and verified Vendors may sell on the Marketplace.
b. All Vendors must:
i. Be at least 18 years of age;
ii. Have a registered or verifiable business;
iii. Be members of Ladies in Business Network SA (LBN)
c. HerBiz reserves the right to approve or reject any Vendor application at its discretion.

4. Vendor Responsibilities
a. Vendors are responsible for:
i. Providing accurate, complete, and current product descriptions, pricing, and images.
ii. Ensuring products meet South African quality, labelling, and safety standards.
iii. Managing stock quantities to avoid overselling.
iv. Dispatching orders within the agreed timelines and packaging goods securely.
v. Handling customer queries promptly and professionally.
b. Vendors must comply with all South African laws applicable to online trading, including the CPA and ECTA.
c. Vendors are responsible for any product-related warranties, exchanges, and customer service.

5. Fees & Payments
a. Vendors agree to pay the following fees to HerBiz:
i. Monthly Promotional Subscription Fee: R50 per month (non-refundable, payable in advance).
ii. Consignment Fee: 10% on each sale processed through the HerBiz Online Marketplace.
b. The consignment fee covers payment gateway fees, administrative costs, and promotional marketing for vendor visibility.
c. All sales made through the HerBiz Marketplace will be processed via HerBiz’s secure POS or online payment system.
d. Vendor payouts will be made between the 2nd and 5th of each month, less applicable fees, commissions, or transaction costs.
e. Payments are made via EFT to the Vendor’s nominated bank account.
f. HerBiz reserves the right to withhold payments in the event of:
i. Outstanding membership or subscription fees;
ii. Customer disputes or refund requests;
iii. Breach of these Terms.
g. All prices and payments are in South African Rand (ZAR) and inclusive of VAT where applicable.

6. Listing Rules & Prohibited Content
a. Vendors may only list products or services that are legal and safe for sale in South Africa.
b. Prohibited items include but are not limited to:
i. Counterfeit, stolen, or pirated goods;
ii. Alcohol, tobacco, or drugs;
iii. Weapons, ammunition, or hazardous materials;
iv. Adult or pornographic materials;
v. Any item infringing on another party’s intellectual property.
c. HerBiz may remove listings or suspend vendor accounts that violate these rules without prior notice.

7. Shipping & Delivery
a. Vendors are responsible for ensuring reliable and timely delivery of orders.
b. Customers may choose between:
i. Collection at designated LBN collection points or
ii. Courier delivery (via vendor’s or HerBiz’s preferred courier partners).
c. Vendors must notify HerBiz of dispatch details and tracking information for courier deliveries.
d. Any delays must be communicated immediately to both HerBiz and the customer.

8. Returns, Refunds & Cancellations
a. Vendors must comply with the Consumer Protection Act (CPA) regarding returns and refunds.
b. Customers may return defective or incorrect items within 7 days of delivery.
c. Vendors are responsible for facilitating refunds or replacements in line with HerBiz’s Returns Policy.
d. Repeated customer complaints or failure to honour return obligations may result in vendor suspension or termination.

9. Intellectual Property (IP)
a. Vendors retain ownership of their brand names, trademarks, and product content.
b. By listing products, Vendors grant HerBiz a non-exclusive, royalty-free licence to use product images, logos, and descriptions for marketing and promotion.
c. Vendors warrant that all submitted content is original and does not infringe on the intellectual property rights of others.

10. Marketing & Promotion
a. HerBiz actively promotes vendors through its website, newsletters, social media platforms, and marketing campaigns.
b. Vendors agree that their products and brand materials may be used in HerBiz promotional content at no extra charge.
c. The monthly subscription fee contributes to ongoing promotional and marketing efforts for vendors.

11. Confidentiality & Data Protection (POPIA Compliance)
a. HerBiz complies fully with the Protection of Personal Information Act (POPIA).
b. Personal and business information will be used only for legitimate purposes related to Marketplace operations.
c. Vendors may not share or misuse customer information obtained through the platform.

12. Limitation of Liability
a. HerBiz serves as an intermediary facilitating transactions between buyers and vendors.
b. HerBiz is not a party to the contract of sale and does not assume liability for:
i. Product quality, defects, or delays in delivery;
ii. Vendor or courier errors;
iii. Customer dissatisfaction or loss of profit.
c. Vendors indemnify HerBiz and its affiliates against any claims, damages, or losses arising from their listings, products, or conduct.

13. Account Suspension & Termination
a. HerBiz reserves the right to suspend or terminate a vendor account immediately if:
i. There is non-payment of fees or commission;
ii. Fraudulent, illegal, or unethical behaviour is suspected; or
iii. The vendor’s conduct harms the reputation of HerBiz or its partners.
b. Upon termination, all outstanding fees and obligations must be settled before final payout.

14. Amendments
a. HerBiz may amend these Terms at any time by providing 7 days’ written notice
b. Continued use of the Marketplace after notification constitutes acceptance of the updated Terms.

15. Dispute Resolution
a. Disputes shall first be resolved through good-faith discussions between the Vendor and HerBiz.
b. If unresolved, disputes will be referred to independent arbitration in Pretoria, under South African law.

16. Entire Agreement
17. These Terms constitute the entire agreement between the Vendor and HerBiz, superseding all prior discussions or representations.
